Engagement Terms
The terms that apply to an agreed DW Transport Consultancy review or support assignment.
1. Services and scope
DW Transport Consultancy will provide the services specifically described in the engagement summary. Anything outside that scope, including additional site visits, data analysis, meetings or implementation work, will be agreed separately before it starts.
2. Nature of the advice
Work is practical operational guidance based on the information made available by the client. It is not legal advice, a Traffic Commissioner decision, a formal statutory compliance sign-off or a guarantee that an operator will pass an audit. The client remains responsible for its licences, policies, decisions and legal compliance.
3. Client responsibilities
The client will provide accurate and timely information, make relevant staff and records available, identify any restrictions on data use, and review recommendations before implementing them. DW may rely on information supplied by the client unless the agreed scope specifically includes verification.
4. Fees and payment
The fee, VAT position where applicable, payment date and any expenses will be stated in the engagement summary. Work may be paused if an agreed invoice remains unpaid. No additional chargeable work will be undertaken without prior agreement.
5. Confidentiality
Each party will keep confidential information received from the other party secure and use it only for the agreed work. This does not apply to information already public, independently obtained or required to be disclosed by law.
6. Data protection
DW will handle personal data in accordance with its Data Protection Procedures. The client must tell DW what personal data is being provided and must have a lawful basis for sharing it. Unless agreed otherwise, the client remains the data controller and DW acts only on the client's instructions for the agreed service.
7. Work product
Once fees are paid, the client may use the reports, checklists and recommendations prepared for its own internal business purposes. DW retains ownership of its general methods, templates, know-how and pre-existing materials. Materials must not be resold or represented as independent legal or regulatory approval.
8. Liability
DW will provide services with reasonable care and skill. To the extent permitted by law, DW is not responsible for indirect loss, loss of profit or loss caused by inaccurate, incomplete or late information supplied by the client. Any agreed liability limit must be stated in the engagement summary and should be reviewed before acceptance.
9. Cancellation
Either party may end an assignment by written notice. The client will pay for work properly completed and any non-refundable costs incurred up to the cancellation date. Any consumer cancellation rights that apply by law are not excluded.
10. Acceptance and digital signature
The client accepts these terms when an authorised representative signs the digital signature request or confirms acceptance by email where that method is expressly agreed. DW will issue the signing request separately after the client details, scope and fee have been confirmed.
11. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales will have jurisdiction.
